1. Acceptance of Terms

Welcome to Vagel Intel (the "Platform"), operated by Vagel AI LLC("Company", "we", "us", or "our"). By accessing our website located at vagelintel.com, utilizing our podcast search index, subscribing to our email digests, or requesting feed processing, you agree to be bound by these Terms of Service (these "Terms"). If you do not agree to all of these Terms, you are strictly prohibited from utilizing our application, services, or digital assets.

2. Description of Service and Transformative Use

Vagel Intel functions strictly as an AI-augmented text indexing, discovery, and research terminal.

The scope:We index publicly available technical and professional audio metadata via open RSS communication protocols. We provide AI-derived listing blurbs, thematic tags, and comprehensive long-form research dossiers ("Intelligent Reports").

Transformative nature: Vagel Intel is designed to aid independent discovery and study. We do not host copyrighted audio media files, provide full digital audio playback streams, or publish word-for-word verbatim text transcripts as a primary product feature. Citations, ideas, and factual claims belong entirely to the original publishers, hosts, and audio speakers.

3. Limited Intellectual Property License and Usage Restrictions

Subject to your continued compliance with these Terms and the timely payment of any applicable subscription fees, Vagel AI LLC grants you a non-exclusive, non-transferable, non-sublicensable, revocable, and limited license to access, view, search, and utilize the text summaries, AI-drafted Intelligent Reports, and historical indexes on vagelintel.com strictly for your own internal research, operational evaluation, or personal professional discovery.

Prohibited exploitation and data scraping

The digital assets, analytical frameworks, and research dossiers provided on this platform are the exclusive intellectual property of Vagel AI LLC. Under the terms of this license, you are strictly prohibited from executing any of the following actions without express written consent:

• Automated data scraping: Utilizing automated scripts, bots, spiders, or scrapers to extract, download, harvest, or cache text summaries, markdown dossiers, or metadata archives from our database.
• Commercial redistribution: Selling, leasing, licensing, distributing, or republishing our AI-drafted Intelligent Reports, or utilizing them to build a competing data archive, discovery index, or software utility.
• AI model training: Using any text or metadata extracted from vagelintel.com to train, fine-tune, or validate third-party large language models (LLMs) or machine learning architectures.

Failure to comply with these restrictions will result in the immediate, permanent revocation of your user account and active subscription without a refund, and may subject you to civil or legal liability.

4. Subscriptions, Fees, and Billing

To unlock advanced operational features, extended digest caps, and comprehensive long-form Intelligent Reports, you may opt to enroll in our paid subscription tiers when those plans are offered for sale. Checkout and recurring billing are processed through our Merchant of Record (see below).

Merchant of record: All billing processes, tax compliance handling, invoicing, and subscription state actions are managed exclusively by our Merchant of Record partner, Lemon Squeezy. By submitting payment parameters, you authorize Lemon Squeezy to charge all recurring access fees directly to your designated payment path.

Founding Member pricing:From time to time we may offer a "Founding Member" promotional plan for our Pro tier. If you subscribe using that offer, you receive thirty percent (30%) off the standard Pro subscription price shown at checkout for that billing interval (monthly or annual, as offered). That discounted rate is locked for five (5) years beginning on the date of your first successful paid invoice under the Founding Member offer, for so long as your subscription remains continuously active on the same account. Continuously active means you do not cancel and you do not allow billing to lapse for more than thirty (30) days after a failed payment. If you cancel, allow billing to lapse beyond that grace period, or your Founding Member offer ends, you forfeit the locked rate; any later subscription is at then-current standard pricing. When the five-year period ends, renewals automatically continue at then-current standard Pro pricing unless you cancel; we may notify you by email at least thirty (30) days before the first renewal at standard pricing. Founding Member pricing applies to Pro only, not to any higher tier we may introduce later. The Founding Member offer may be limited to a limited number of subscribers or withdrawn from sale at our discretion.

Plain-language refund policy

Because our subscriptions grant instant access to an index of pre-processed research data and initiate high-priority server processing queues for custom feed ingestion, we operate a 14-day conditional refund window:

• You may request a full refund within 14 calendar days of your initial purchase provided you have not utilized your account to submit custom priority RSS feeds for server ingestion.
• Once a priority feed ingestion job has been successfully requested and initiated by our background infrastructure on your account, or if the initial 14-day window has expired, all sales are considered final and non-refundable.
• You may easily cancel your subscription at any time to halt future billing renewals via your secure customer billing portal.

5. Custom Feed Requests and System Safety

Users may request custom RSS feed parsing through our interactive submission modules (request feed).

Processing mechanics: Free tier requests are handled via low-priority background batch tasks. Premium accounts unlock priority processing channels on our virtual servers. We reserve the absolute right to limit, restrict, or discard submitted feeds that contain corrupt data, dead media endpoints, non-professional audio content, or spam.

System hygiene: To safeguard platform performance, we utilize automated anti-spam parameters, honey-pot validation filters, and script defenses. Any attempt to exploit or reverse-engineer our Next.js API endpoints, Neon database structures, or DigitalOcean background nodes will result in immediate service termination.

6. Disclaimers and Limitations of Liability

No investment or professional advice:All text summaries, abstract insights, entity maps, and metrics delivered across the Platform are provided strictly "as-is" for research, reference, and informational utility. Vagel AI LLC does not provide financial investment, legal, or corporate strategy advice.

Fact verification: Because listing blurbs and Intelligent Reports are systematically drafted with artificial intelligence configurations utilizing automated transcripts or captions, errors may occur. Users must manually verify all critical claims, numbers, and statements directly against the original source audio before executing business decisions.

Limitation of liability: Vagel AI LLC and its operators assume no liability, legal responsibility, or financial exposure for corporate actions, investment determinations, or strategic decisions executed by users or businesses using data indexed on this platform.

7. Modifications to the Service and Terms

We reserve the right to refine platform features, alter data parameters, adjust baseline pricing models, or update these Terms at any time to support technical infrastructure growth. Any adjustments will be posted directly to this URL, and continued utilization of your user session after such updates constitutes your explicit binding acceptance of the modified Terms.

8. Governing Law and Jurisdiction

These Terms and your relationship with Vagel AI LLC shall be governed by, interpreted, and enforced in accordance with the laws of the State of New York, without regard to conflict of law principles. Any legal actions or proceedings arising from interactions with the Platform shall be handled exclusively in the state or federal courts located in Albany, New York.
